All disputes related to this giveaway will be conclusively resolved through binding arbitration, with participants waiving the right to bring claims in a class action format. This agreement includes, without limitation, obligations for participants to indemnify the Giveaway Entities and limits participants' legal rights and remedies.

PPG#2 - PROMOTION PERIOD: The “PPG#2” Giveaway commences at 12:00:01 a.m. Eastern Time (“PST”) on May 11, 2024, and concludes at 11:59:59 p.m. PST on August 20, 2024. Sponsored by Podium Performance Group, LLC, located at 1309 COFFEEN AVE STE 14653, Sheridan WY 82801. This promotional event is governed by the Sponsor's system clock. All individuals who enter the Giveaway in accordance with the entry guidelines outlined in these Official Rules throughout the Promotion Period will be designated as “Participants.”

The Giveaway welcomes legal residents of the fifty (50) United States** and the District of Columbia who are at least eighteen (18) years of age at the time of entry, with adjustments for residents of Alabama and Nebraska who must be at least nineteen (19) years old, and residents of Mississippi who must be twenty-one (21) or older. Exclusions apply to officers, directors, members, employees, and agents of the Sponsor, their immediate family members (parents, children, siblings, and their spouses, regardless of where they reside), and those living in the same household (related or not), as well as individuals involved in the production, distribution, or development of Giveaway materials, including Sponsor's parent companies, subsidiaries, affiliates, dealers, advertising, promotional agencies, and retail partners (collectively, "Giveaway Entities"). Eligible participants must possess a unique and valid social security number for tax reporting purposes as outlined in the "PRIZE CLAIMS" section. This Giveaway is governed by all applicable federal, state, and local laws. Entry signifies full and unconditional agreement to the Official Rules and the Sponsor's final decisions. Prize eligibility requires compliance with these rules. The Giveaway is void in Puerto Rico, the U.S. Virgin Islands, Guam, U.S. Military bases overseas, and where prohibited or restricted by law.

Participants within Washington State are restricted from purchasing certain products on state soil. However, Washington State residents who make purchases while outside the state are eligible for Giveaway entry. This Giveaway adheres to all relevant federal, state, and local regulations. Concerns regarding restrictions by the Washington State Gambling Commission can be addressed by contacting (800) 345-2529.

PPG#2 - HOW TO ENTER THE GIVEAWAY: Eligible participants identified previously will be considered active Participants of the Giveaway upon employing any of the six (6) stipulated entry methods:

(1) Online Merchandise Purchase: Earn entries by visiting www.ThePodiumPass.com (the "Website") and making a purchase during the Promotion Period. For every dollar ($1.00) spent, excluding costs for shipping & handling and taxes, the Participant earns one (1) entry into the Giveaway. Participants must provide their full name, home address, telephone number, and email address either before or at the time of their qualifying purchase. In the event a Participant disputes a credit card charge, initiates a charge-back, or files for a refund from the Sponsor, the entries corresponding to that transaction will be nullified. Adjustments or refunds for orders that include digital entries are permissible only before the Promotion Period ends; the Sponsor will not implement changes post-Promotion Period.

(2) Membership Entry: During the Promotion Period, participants can visit the Website to purchase one of the available Membership options in the Sponsor’s Membership Program. The amount of Giveaway entries received will correspond to the Membership level chosen:- Monthly Memberships: * $15.00 USD per month: One Hundred Fifty (150) entries for all active Podium Performance Group Sponsored Giveaways at renewal; * $25.00 USD per month: Five Hundred (500) entries for all active Podium Performance Group Sponsored Giveaways at renewal; * $50.00 USD per month: One thousand five hundred (1500) entries for all active Podium Performance Group Sponsored Giveaways at renewal; * $75.00 USD per month: Three thousand seven hundred fifty (3750) entries for all active Podium Performance Group Sponsored Giveaways at renewal; * $125.00 USD per month: Twelve thousand five hundred (12500) entries for all active Podium Performance Group Sponsored Giveaways at renewal; Participants that enroll in any Podium Pass Monthly option shall receive Giveaway entries into all active Podium Performance Group LLC Giveaways at the time of billing. The number of entries will correspond to the purchased product. For Monthly Memberships, all new Membership entries will be added to the accumulated entries from past qualifying billing cycles. **Membership entries depend on maintaining an active and good-standing status within the chosen Membership Program. Canceling the membership within the Promotion Period will cease the receipt of Membership Program benefits. Should a Participant alter their Membership level within the month, they will accrue entries corresponding to their Membership status as verified on the fifth day of each month. Disputes or charge-backs initiated against Membership fees will result in the cancellation of associated entries. Adjustments or refunds related to Memberships need to be finalized before the end of the Promotion Period, as no changes will be made by the Sponsor post-Promotion Period.

(3) Free Mail-In Entry: Entry into the PPG#2 is possible without any purchase by submitting a mail-in entry ("Mail-In Entry"). To create a Mail-In Entry, participants must handwrite on a 3"x5" card the following information: "PPG#2 -  Kawasaki Ninja H2 +$10,000 CASH" Giveaway entry, their full name, address, phone number, email address, and date of birth. This Mail-In Entry should be sent via first-class mail, postage prepaid, to: "PPG#2 -  Kawasaki Ninja H2 + $10,000 CASH," c/o Podium Performance Group LLC, 1309 Coffeen Ave STE 14653, Sheridan, WY, 82801. It is imperative that each Mail-In Entry is mailed individually because only one (1) entry per envelope is permitted, which must include a hand-printed return address on the front. The envelope should not have any decorations. Bulk submissions will be disqualified and discarded. Upon receipt of a valid Mail-In Entry, the participant will be granted ten (10) entries into the Giveaway. All information requested must be provided for the entry to be valid, and entries must adhere to the specified format. Entries must be postmarked from May 11, 2024, to August 11, 2024, and received by 2:00 p.m. ET on August 5, 2024. Sponsor will not acknowledge receipt of entries. Entries must be original and manually created; photocopied, illegible, or mechanically reproduced entries will be void. The Sponsor is not liable for any entries that are lost, late, incomplete, illegible, misdirected, or due to postage issues. Participants are allowed to submit as many Mail-In Entries as they wish. All entries become the exclusive property of the Sponsor and will not be returned.

(4) Temporary Access Memberships: 

* $30.00 USD for Two (2) days: Three Hundred (300) entries for PPG#2 at time of purchase. 

* $60.00 USD for Seven (7) days: Six Hundred (600) entries for PPG#2 at time of purchase. 

* $100.00 USD for One (1) month: One Thousand (1000) entries for PPG#2 at time of purchase. 

* $250.00 USD for Six (6) months: Two thousand five hundred (2500) entries for PPG#2 at time of purchase.

(5) Mobile Registration: Participants can opt-in to the PPG#2 by texting a specific code provided by Podium Performance Group to a designated number and completing the registration process on the Podium Pass website. * Successful registration through this method grants twenty (20) Sweepstakes entries. Limit of twenty (20) entries per person via mobile opt-in.

(6) Social Media Free Bonus Entries: * YouTube Subscription – Participants can obtain five (5) entries by subscribing to the Sponsor’s YouTube channel through the provided link. Limit ten (10) entries per Entrant through this bonus entry feature.* Instagram Follow – Participants can obtain ten (10) entries by following the Sponsor on Instagram through the provided link. Limit ten (10) entries per Entrant through this bonus entry feature.*Instagram Interaction: Participants can earn up to twenty (20) additional entries by interacting with specific posts on the @PodiumPass Instagram page. Each eligible post liked and/or commented on earns one (1) entry, with a maximum of twenty (20) interactions counted for entries.* Facebook Page Visit – Participants can obtain two (2) entries by visiting the Sponsor on Facebook through the provided link. Limit two (2) entries per Entrant through this bonus entry feature. Limit forty two (42) bonus entries per Participant per promotional period.

BONUS ENTRIES: Throughout the Promotion Period, the Sponsor may periodically offer opportunities for earning bonus multiples of Giveaway entries as announced on the Sponsor's website. These opportunities, known as "Bonus Periods," may allow Participants to earn entries at multiples of 2x, 5x, 10x, 20x, 30x, 50x, or even 100x the normal rate for each dollar ($1.00) spent excluding shipping, handling, and taxes, or for each individual free Mail-In Entry submitted during these Bonus Periods. To qualify for these bonus entries, Participants must clearly mark "Bonus" on the lower left-hand side of the front of their Mail-In Entry envelope. Should a Bonus Period conclude on a Sunday or a public holiday, when U.S. post offices are closed, Mail-In Entries must be postmarked by the following day to qualify for the bonus entries.

Throughout the Promotion Period, the Sponsor may periodically offer opportunities for earning bonus entries to Temporary Access Memberships where each qualifying product will allow participants to earn entries at multiples of 2x, 5x, 10x, 20x, 30x, 50x the normal rate for each dollar ($1.00) spent excluding shipping, handling, and taxes, or for each individual free Mail-In Entry submitted during these Bonus Periods. To qualify for these bonus entries, Participants must clearly mark "Bonus" on the lower left-hand side of the front of their Mail-In Entry envelope. Should a Bonus Period conclude on a Sunday or a public holiday, when U.S. post offices are closed, Mail-In Entries must be postmarked by the following day to qualify for the bonus entries.

To ensure entry validity and eligibility for winning, it's essential that Participants complete all required information. Incomplete submissions will be automatically disqualified. Entries must be made directly by the Participant through the designated websites and application URLs. Entries from other sources, such as those made by third parties or originating from other websites or email addresses, including commercial contest subscription services, will be deemed invalid and excluded from the Giveaway. The Sponsor reserves the exclusive right to disqualify any entries that it believes may compromise the Giveaway's administration, security, fairness, or integrity. It should be noted that merely submitting an entry does not guarantee its receipt by the Sponsor, and the use of automated devices for entry is strictly prohibited.

Participants considering entering the Giveaway through a mobile device—a method potentially available only through select wireless carriers and not mandatory for Giveaway entry—should note that standard text messaging and data charges may apply for each message exchanged in accordance with the Participant's mobile service contract. Additional fees, like standard airtime and carrier charges, could be billed to the Participant's mobile account or deducted from prepaid balances. Given the variability in wireless carriers' rate plans, it is recommended that Participants consult their provider for details on messaging rates and any charges associated with participating in this Giveaway. Engaging in the Giveaway via mobile implies acknowledgment that the Participant might receive supplementary Giveaway-related messages, including winner announcements, which could incur costs as per the Participant's service agreement. It's important to recognize that text messaging capabilities and mobile services are not universally supported across all carriers and handset models, and service availability may vary by location. Participants are encouraged to check their device's specifications for appropriate guidance.

MAIL-IN ENTRY DETAILS AND BONUS OPPORTUNITIES: For Participants choosing the Mail-In Entry method, there is an additional step to enhance your participation. On the reverse side of your 3"x5" card or paper, in forty-one (41) words or more, please provide a handwritten response to the prompt: “How would winning this sweepstakes change your life?” All mail-in entries must be postmarked by May 19, 2024, and received no later than August 20, 2024, to be eligible.

Bonus Entry Multiplier: Should your mail-in entry be postmarked during a designated Bonus Entry Period, as announced on the thepodiumpass.com website, it will qualify for an enhanced entry multiplier. For instance, during a 10X Bonus Period, your entry would be augmented to represent fifty (50) entries. To benefit from a Bonus Entry Period, ensure your mail-in entry's postmark aligns with these special windows and is received within five (5) days following the close of the Bonus Period. Should the final day for a Bonus Period fall on a Sunday or federal holiday, the entry must be postmarked on the next business day.

ADDITIONAL ENTRY GUIDELINES AND INTEGRITY MEASURES*

NOTE 1: Each mail-in entry card and envelope must be manually filled out by the entrant themselves. The use of any third-party services to assist in the entry process is strictly forbidden and will lead to immediate disqualification. To ensure fairness, each entry must be submitted in an individual envelope; bulk shipments will not be recognized or accepted.*

NOTE 2: Podium Performance Group will not accept returns or offer refunds for any purchases made during the Sweepstakes Period. Initiating a chargeback for purchases made will result in automatic disqualification and removal of the entrant's submissions from the Sweepstakes. Engaging in or attempting any form of fraudulent activity, including but not limited to purchasing items to gain entries with the intention of returning those items post-Sweepstakes, will result in disqualification and a permanent ban from future participation in any Sweepstakes or promotions conducted by Podium Performance Group.*

NOTE 3: Maximum Entries per Participant is seventy five thousand (75,000) entries.

PPG#2 - PRIZE: Within the confines of these Official Rules, a sole Prize Winner is entitled to receive a Grand Prize corresponding to the Envelope Game Prize: (i) a  Kawasaki Ninja H2, with a Approximate Retail Value approximately valued at Twenty thousand U.S. Dollars ($20,000.00), and (ii) a monetary reward of ten thousand ($10,000.00) U.S. Dollars, dispensed as a check. The selection of vehicle specifications for the Grand Prize is at the sole discretion of the Sponsor. Responsibility for any supplementary equipment, title, registration fees, documentation fees, delivery charges, preparation fees, shipping costs, emissions testing, insurance, fuel, maintenance, and other related costs for receiving and utilizing the prize vehicle (jointly referred to as “Transaction Expenses”) will rest with the Prize Winner. Furthermore, any optional features beyond the base model of the vehicle will be the financial responsibility of the Prize Winner. The Prize Winner is also responsible for all relevant federal, state, and local taxes, including, but not limited to, sales and income taxes (“Tax Liabilities”). Although the cash component of the Grand Prize may be allocated towards these expenses, there is no assurance from the Sponsor that these funds will sufficiently cover all Transaction Expenses and Tax Liabilities. It is the Prize Winner's duty to insure the vehicle and to pay for all associated Transaction Expenses and Tax Liabilities. The cumulative Approximate Retail Value (“ARV”) of the Grand Prize is thirty thousand and 00/100 U.S. Dollars ($30,000.00).

Vehicle(s) may not meet safety or emissions testing required in some states, provinces, territories and/or counties/municipalities. Prize Winner is responsible to check their state/province for applicable emissions requirements and must use the vehicle in accordance with those applicable regulations.

The Prize Winner is obliged to demonstrate proof of valid automobile insurance and a valid driver's license to claim the vehicle. The vehicle must be collected from the Podium Performance Group LLC headquarters in Orlando, Florida within fifty (50) days after the Prize Winner's confirmation by the Sponsor. Transportation to the headquarters, selected by the Sponsor, will be provided to the Prize Winner, potentially including a one-way coach airplane ticket from an airport chosen by the Sponsor or ground transportation if the Prize Winner resides within 200 miles of the headquarters in Orlando, Florida. This transportation is valued at approximately $500, included in the overall prize valuation; if the Prize Winner opts out of the provided air travel, the prize's value will be adjusted accordingly. Travel arrangements are contingent upon availability and subject to capacity controls, limitations, and various restrictions, all of which are at the Sponsor’s discretion. Flight arrangements for the Prize Winner will be managed and determined by the Sponsor or its appointed agent. Once travel plans are confirmed, no modifications, extensions, or substitutions of travel dates are allowed, except at the discretion of the Sponsor. The Released Parties bear no responsibility for any cancellations, delays, or changes made by the airlines. It is the responsibility of the Prize Winner to ensure timely arrival at the departure airport, equipped with the necessary government-issued travel documents and identification, adhering to all pertinent travel, security, and regulation requirements.

The Prize Winner is responsible for all additional costs associated with the redemption of the Grand Prize, including but not limited to extra airline fees, passport/visa expenses, travel insurance, transportation within the destination area, meals, taxes, tips, purchases, souvenirs, hotel charges, phone costs, and any other ancillary costs. Before travel documentation can be issued, the Prize Winner must complete a liability/publicity release. It is the Prize Winner's obligation to arrange transportation of the Grand Prize from the Sponsor's premises in Orlando, FL, to the desired location of the Prize Winner.

The maximum total Approximate Retail Value (“ARV”) for the Grand Prize is thirty thousand and 0/100 U.S. Dollars ($30,000.00).

** Should the selected Prize Winner be unable to present a valid Driver's License, they must furnish a state-issued photo ID or Passport. If the selected Prize Winner needs aid in traveling or driving, they will bear the cost for any travel companions, including airfare. Any travel companions must be covered by a separate automobile insurance policy if they are to operate the vehicle on behalf of the Prize Winner. Reasonable measures will be taken to facilitate the Prize Winner's collection of the Grand Prize, provided the aforementioned criteria are satisfied.

PPG#2 - WINNER SELECTION AND NOTIFICATION: A Potential Winner will be chosen through a random selection from all valid entries received, scheduled for May 27, 2024, by the Sponsor, whose decisions are definitive and binding regarding this Promotion/Giveaway. Once eligibility is confirmed, a Potential Winner will henceforth be recognized as a Prize Winner. The odds of winning are contingent upon the total number of eligible submissions received. The Prize Winner will be notified via a telephone call. Following initial notification and the verification process, confirmation will be dispatched to the Prize Winner through email.

The Potential Winner will receive a notification call from a (480) area code approximately on August 20, 2024, and is required to respond within twenty-four (24) hours with the necessary details. Should the Potential Grand Prize Winner not provide the requested information within the specified period, or if any notification is returned as undeliverable, or the Potential Winner is deemed ineligible, or fails to comply with the Official Rules, the Potential Winner will be disqualified and thus forfeit the Grand Prize. In such cases, an alternative Potential Winner will be selected from the pool of remaining eligible entries. The Sponsor bears no responsibility for the Potential Winner's failure to initiate contact after receiving notification.

Upon entering the Giveaway and as part of the Grand Prize award process, each Potential Winner, except where prohibited by law, agrees to promptly complete, sign, and return an Affidavit of Eligibility, a Liability and Publicity Release Form, an IRS Form W-9, W8-BEN, or any other necessary forms (such as a Request for Taxpayer Identification Number and Certification), as well as any other documents the Sponsor requires ("Documents"), in accordance with the instructions provided in the notification email. This must be done within forty-eight (48) hours of receiving the documents or within a different specified timeframe if indicated. The Documents will require the Potential Winner to disclose sensitive personal data, including their full legal name, date of birth, residential address, and social security number. By submitting the completed Documents, the Potential Winner confirms their agreement to the stipulated conditions and adherence to the Official Rules. In jurisdictions where it is prohibited to require consent to publicity for participation, Potential Winners who wish to object to such publicity must communicate their objections to the Sponsor by email during the verification process. The Grand Prize may carry additional conditions or restrictions, which will be outlined in the Documents. The stipulations within the Documents are integral to these Official Rules. Participants or Potential Winners may be deemed ineligible to receive the Grand Prize (without entitlement to any compensation) or may be disqualified for reasons including, but not limited to: (i) not fulfilling all eligibility criteria specified in these Official Rules, (ii) not adhering to the Official Rules or the Sponsor’s directives, (iii) not responding to attempts at notification as described, (iv) not returning the Documents or any required documents within the Sponsor’s stipulated timeframe, (v) providing invalid contact details at entry or if attempts to notify are returned as undeliverable, (vi) if the Sponsor cannot satisfactorily verify the identity and eligibility of the Potential Winner, (vii) not successfully passing a background check to the Sponsor’s satisfaction, (viii) providing false, incomplete, or misleading information to the Sponsor or engaging in any fraudulent activities or deception in relation to the Giveaway, (ix) exhibiting obnoxious, threatening, abusive, or harassing behavior at any point before or during the prize award process, (x) failing to accept the Grand Prize promptly for reasons including, but not limited to, personal injury or death, and (xi) if the Giveaway Entities are unable to award or fulfill the Grand Prize within the scheduled timeframe due to reasons beyond their reasonable control, such as legal barriers, acts of God, natural disasters, pandemics/epidemics, acts of terrorism, or adverse weather conditions. If a Prospective Winner is deemed ineligible, refuses the Grand Prize, or is disqualified for any reason before the prize is awarded, they may be disqualified, and an alternate Prospective Winner could be chosen through a random selection from the pool of remaining eligible entries. The Sponsor retains the flexibility to adjust the procedures for notifying and verifying an alternate Prospective Winner if needed. Should the situation arise where more individuals legitimately claim the Grand Prize than the quantity specified in these Official Rules, a random draw from among such claimants may be conducted. Being part of this drawing represents the exclusive recourse for such individuals under these circumstances. The Giveaway Entities bear no responsibility for delays, losses, damages, interception, or failures in notifying the Prospective Winner.

The Grand Prize's value might be subject to taxation as income, and the Prize Winner bears sole responsibility for any taxes due, including federal, state, and local taxes on the Grand Prize's value. The Sponsor is obligated to report the Grand Prize's value to the Internal Revenue Service in the year it is awarded to the Prize Winner, which will be documented to both the Prize Winner and the IRS via an IRS Form 1099. The entities involved in the Giveaway will not replace any lost or stolen Grand Prizes or components thereof. Winners have the right, at their discretion, to decline acceptance of any or all parts of the Grand Prize they are entitled to, in which case they will be considered to have forfeited the Grand Prize or parts thereof without any entitlement to compensation.

The Sponsor and the entities released from liability (hereinafter referred to as "Released Parties") expressly disclaim any warranty, representation, or guarantee, whether express or implied, factual or legal, regarding any prize issued, specifically excluding any implied warranties of merchantability or fitness for a particular purpose. Prizes are provided "AS IS" without any form of warranty, explicit or implied. The acquisition rights for any prize cannot be sold, exchanged, or commissioned, and are not transferable or exchangeable, except at the sole discretion of the Sponsor. Prize details and their availability are subject to modifications. The Sponsor reserves the right to substitute any prize (or component thereof) with another of equal or greater value at its sole discretion, should substitutions not be predefined by the Sponsor. The Sponsor is not the direct provider of the Grand Prize, which may be delivered by a third party. The Sponsor and Released Parties bear no responsibility for any damages, losses, or misuse of any prize distributed in this contest.

Grand Prize Winner will be announced to the public via https://thepodiumpass.com and our social media pages on or about August 20, 2024.

Legal Compliance and Integrity: As the Sponsor and Administrator of the "PPG #2" Sweepstakes, Podium Performance Group is committed to upholding the highest standards of legal compliance and integrity throughout the execution of the envelope game. All participants are assured of a fair, unbiased opportunity to win in accordance with the established rules and regulations governing this Sweepstakes.

PPG#2- USE OF PERSONAL INFORMATION: Participants, by entering the Giveaway, permit the Sponsor to collect, utilize, and share their personal data such as names, addresses, and other relevant information submitted for the purpose of managing this Giveaway. Data collected during the entry process will be solely used by the Sponsor and shall not be disclosed or sold to third parties unless required for the proper management of this Giveaway. The processing of entry data will adhere to the Sponsor’s privacy policy, which participants affirm to have read and accepted by participating in the Giveaway. This participation constitutes an agreement to the privacy policies outlined. In case of any inconsistencies between these Official Rules and the privacy policy, the terms set forth in these Official Rules will take precedence.

PPG#2- INDEMNIFICATION AND RELEASES: Through participation in the Giveaway, the Participant undertakes to indemnify, defend, and hold harmless themselves, their heirs, executors, legal representatives, and any individuals claiming under the Participant, the Giveaway Entities, Twitter, Inc., Meta Platforms, Inc., Instagram, Inc., TikTok Inc., Alphabet Inc., Google LLC, and any associated entities contributing to the promotion, administration, prize provision, sponsorship, advertisement, or execution of the Giveaway, including their respective parent entities, affiliates, subsidiaries, advertising and promotional agencies, and all of their directors, officers, employees, agents, successors, and assigns (hereinafter referred to collectively as the “Indemnified Parties”), against all claims, liabilities, expenses (including legal fees), losses, damages, penalties, or injuries (inclusive of bodily harm and death) stemming from or related to: (i) the Participant's engagement in the Giveaway; (ii) any aspect of a prize including, but not limited to, its receipt, ownership, misuse, or utilization, or any injury, damage, or loss to the Participant or another individual’s property, or person, including death, resulting from or in connection with any prize-related activities or travel; (iii) any infringement on rights of privacy or publicity, allegations of defamation or false representation, or claims related to intellectual property infringement, (iv) any printing, human, or other errors in managing, promoting, or announcing any Giveaway activity or award. The Sponsor expressly disclaims all warranties related to the prize's appearance, safety, or performance, aside from any specific manufacturer's warranty, which applies solely against the manufacturer and not the Released Parties. As a condition of entering the Giveaway, all Participants consent to absolve, defend, and hold the Released Parties harmless against all liabilities, claims, damages, injuries, or actions related to injuries, damages, or losses to persons or property incurred through participation in the Giveaway. This includes (a) accessing the Sponsor's website; (b) participation in any aspect of the Giveaway, including, but not limited to, preparation, participation, and/or travel to or from any prize or Giveaway-related activity, which encompasses any harm, damage, death, loss, or accident to person or property; (c) receipt, possession, use, or misuse of any prize; (d) issues arising from downloading or any other technical problems with the Giveaway application; or (e) any typographical or other errors in these Official Rules or in the announcement of any prize. The Prize Winner assumes all risk of loss or damage to their prize upon delivery. Notably, Participants recognize that the Released Parties: (a) have not and will not provide any warranty, representation, or guarantee, express or implied, in fact or law, regarding the Giveaway and/or the Grand Prize's quality or fitness for a specific purpose; (b) do not control the personnel, equipment, or any other individuals or entities ("Suppliers") offering services, products, or accommodations in connection with the Giveaway, (c) The Released Parties shall not bear responsibility or liability for any injury, harm, loss, cost, accident, delay, inconvenience, or irregularity resulting from: (i) wrongful, negligent, or unauthorized acts or omissions by Suppliers or their agents, employees, or independent contractors; (ii) defects or failures of any vehicle, equipment, service, or product owned, operated, supplied, or used by Suppliers; (iii) wrongful, negligent, or unauthorized acts or omissions by any person or entity not employed by the Released Parties; and (iv) any other cause, condition, or event beyond the control of the Released Parties. Participants acknowledge that the Released Parties are not liable for discontinued parts of the Grand Prize, human errors, inaccuracies in registration or account information, technical malfunctions of any network, computer systems, software, or Internet service providers used by the Sponsor, or any interruption or inability to access the Internet, the Sponsor's websites, or any online service due to hardware or software compatibility issues. Furthermore, the Released Parties are not liable for any damage to a Participant's (or any third person's) computer or its content related to the Giveaway, nor for any lost/delayed data transmissions, omissions, interruptions, viruses, bugs, defects, or other errors or malfunctions, even if caused by the negligence of the Released Parties. Participants agree to indemnify and hold the Released Parties harmless from all liabilities arising from participation in the Giveaway and waive any rights to initiate legal proceedings against the Released Parties. Participants acknowledge that the Released Parties have not issued, nor are they liable for, any warranty, representation, or guarantee, either expressed or implied, regarding any prize. This includes express warranties solely provided by the prize Suppliers. Participants agree to indemnify and hold harmless the Released Parties from any liability, damage, costs, legal fees, and expenses arising either directly or indirectly from their participation in the Giveaway or from accepting, using, misusing, or possessing any prize awarded. This indemnity covers, without limitation, personal injury, death, loss of enjoyment, property damage, violations of publicity, privacy, personality rights, "moral rights," defamation, and all taxes levied or collected, or any other damages or losses, even those resulting from the negligence or fault of the Sponsor or the Released Parties. The Released Parties are absolved from responsibility for Participant actions that attempt to circumvent the Official Rules or affect the Giveaway's administration, security, fairness, integrity, or proper conduct.

Furthermore, the Released Parties are not liable for any modifications or the unavailability of any platform that might impact the Giveaway or the Participant's ability to promptly enter, receive notifications, or communicate with the Sponsor via such platform. In such events, the Sponsor retains the right to end or modify the Giveaway at its discretion.

Participants explicitly acknowledge and agree to waive all rights under Section 1542 of the California Civil Code and any similar provisions in other jurisdictions. Section 1542 states that a general release does not extend to claims not known or suspected to exist in favor of the individual executing it, which if known, would have materially affected his or her agreement with the debtor. This waiver is intended to encompass all unknown or unsuspected claims, effectively foregoing any legal requirement to retain the right to pursue future unknown claims.

PPG#2 - TAMPERING WITH THE GIVEAWAY: In the event of any disruption, including but not limited to computer viruses, bugs, unauthorized interventions, fraud, technical failures, natural disasters, pandemics, civil disturbances, or regulatory changes, which could corrupt or impact the administration, fairness, integrity, or proper conduct of the Giveaway, the Sponsor reserves the right to disqualify any individuals who breach the rules and to cancel, terminate, modify, or suspend the Giveaway at its sole discretion. This may involve awarding the Grand Prize based on non-suspect entries received up to the point of such termination or suspension. Individuals found providing false information, securing entries through deceit, or violating these Official Rules to win prizes will forfeit any prizes won, with the Sponsor reserving the right to pursue legal action to the fullest extent permitted by law. The Released Parties bear no responsibility for any erroneous, incomplete, or inaccurate information, regardless of whether it arises from website users, tampering, hacking, or any equipment or programming used in the Giveaway, or from any technical or human error. They are also not liable for any errors, omissions, interruptions, deletions, defects, delays in operations or transmissions, communication failures, thefts, destructions, unauthorized access, or alterations of entries. Furthermore, the Released Parties disclaim any responsibility for problems or technical malfunctions of telephone networks or lines, computer online systems, servers, providers, computer equipment, software, or the failure of any email or entry to be received by the Sponsor due to technical problems, human error, or internet congestion, including any injury or damage to any participant's or any other person's computer related to participation in the Giveaway or the downloading of any materials in the Giveaway. In such instances, the Sponsor may choose to award the Grand Prize(s) based on valid, non-suspect entries received up until the time of cancellation or suspension.

WARNING: Deliberately damaging any website or disrupting the proper operation of the Giveaway is against criminal and civil laws. Should such actions occur, the Sponsor reserves the right to seek legal remedies or compensation from those responsible to the fullest extent permitted by law. In disputes over the identity of a winner based on an email address, the winning entry will be considered made by the "authorized account holder" of the email address used at entry. An "authorized account holder" is defined as the natural person assigned an email address by an Internet service provider, online service provider, or other organization responsible for assigning email addresses for the domain associated with the submitted email address.

PPG#2- PUBLICITY RELEASE: Prize Winners must consent to record a follow-up video within forty-five (45) days after receiving their Grand Prize, as specified in the Paperwork. Prize Winners acknowledge that the awarding ceremony of the Grand Prize may be recorded or photographed. The Sponsor solely owns all rights to any such videos and photographs, which may be used in any media at their discretion. Contrary to any terms in the Sponsor’s privacy policy, and where not prohibited by law, by submitting personal information or accepting the Grand Prize, participants grant the Sponsor and its affiliates an unrestricted, perpetual, worldwide license to use their name, city and state, likeness, voice, and all provided personal and biographical information, as well as any statements and content submitted for the Giveaway. This includes, without limitation, the right to publish, display, modify, or otherwise commercially use all submitted content and information in any format or media for marketing, advertising, or any other commercial purposes. Participants acknowledge that they will not receive compensation, approval rights, or notice regarding the use, modification, or distortion of their personal details, likeness, or submissions in any form of media for commercial purposes, including advertising, promotion, or any related activities. The Sponsor has unconditional rights to utilize all content related to the Prize Winner’s involvement in the Giveaway indefinitely. The Prize Winner guarantees they own or have the necessary rights to all materials they provide to the Sponsor and have secured consent from third parties involved in those materials. Participants are prohibited from generating any publicity about the Giveaway Entities without permission. If a participant opts into receiving communications from the Sponsor, they agree to the processing of their personal data as per the Sponsor’s privacy policy and terms, understanding this consent has no impact on their odds of winning.

PPG#2- MODIFICATION: The Sponsor is not obliged to distribute more prizes than the number stated in these Official Rules. There will be no substitution for the Grand Prize or offering of a cash alternative, except at the Sponsor's discretion or as outlined herein. The Sponsor retains the authority to replace the Grand Prize with one of equal or greater value if the original prize becomes unavailable for reasons outside the Sponsor's control, subject to prior written approval. The Grand Prizes are non-transferrable, and the Prize Winner bears sole responsibility for any taxes on the prize income and all other unspecified expenses related to the Grand Prize. The awarding of prizes will not exceed the count specified in these Official Rules. If the Giveaway cannot proceed as planned due to any reason, including malfunctions, unauthorized interventions, fraud, technical failures, or any other causes that might compromise the safety, administration, security, fairness, or integrity of the Giveaway, the Sponsor has the right to cancel, terminate, suspend, postpone, delay, or alter the Giveaway, wholly or partially, at its discretion. Should there be more prize claims or winning notifications than the number of available prizes, the Sponsor will suspend all prize distributions and has the right to allocate the remaining prizes in a fair and equitable manner, which may include a random drawing from eligible entries received before the issue occurred or among all valid prize claims, absolving the Sponsor and the Released Parties of further liability to any participant regarding the Giveaway.

PPG#2- GOVERNING LAW LIMITATION OF LIABILITY: All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules and any additional supplemental rules or the rights and obligations of Participants, Sponsor, or the Released Parties in connection with the Giveaway will be governed by and construed in accordance with the laws of the State of Wyoming, without giving effect to any choice of law or conflict of laws rules or provisions (whether of the State of Wyoming or any other jurisdiction) that would cause the application of the laws of any jurisdiction other than the State of Wyoming.

BY PARTICIPATING IN THE GIVEAWAY, PARTICIPANTS AGREE, AS PERMITTED BY LAW, TO THE FOLLOWING TERMS: (A) ALL DISPUTES, CLAIMS, AND CAUSES OF ACTION ARISING FROM OR RELATED TO THE GIVEAWAY, OR ANY PRIZES AWARDED, SHALL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO CLASS ACTION SUITS; (B) ANY CLAIMS, JUDGMENTS, AND AWARDS SHALL BE LIMITED TO ACTUAL OUT-OF-POCKET COSTS INCURRED BY THIRD PARTIES, NOT TO EXCEED THIRTY DOLLARS ($30.00), EXCLUDING ATTORNEYS' FEES; (C) PARTICIPANTS SHALL NOT BE ENTITLED TO ANY FORM OF DAMAGES OTHER THAN ACTUAL EXPENSES, CAPPED AT THIRTY DOLLARS ($30.00), THUS WAIVING RIGHTS TO SEEK PUNITIVE, INCIDENTAL, CONSEQUENTIAL DAMAGES, LOST PROFITS, OR ANY MULTIPLICATION OF DAMAGES; AND (D) ALL RECOURSE FOR PARTICIPANTS IS LIMITED TO MONETARY DAMAGES AND EXCLUDES ANY RIGHT TO INJUNCTIVE OR EQUITABLE RELIEF. NOT ALL JURISDICTIONS ALLOW FOR SUCH LIMITATIONS OR EXCLUSIONS, SO THESE CONDITIONS MAY NOT APPLY TO ALL PARTICIPANTS. BOTH PARTIES WAIVE THEIR RIGHTS TO A JURY TRIAL FOR ANY CLAIMS OR ISSUES ARISING FROM THIS AGREEMENT, REGARDLESS OF WHETHER THEY ARE BASED IN CONTRACT, TORT, OR ANY CLAIMS OF FRAUDULENT INDUCEMENT.

PPG#2- DISPUTE RESOLUTION: All participants, along with the Sponsor, Giveaway Entities, and Released Parties, collectively referred to as "Parties," agree to resolve disputes exclusively through binding arbitration. Nonetheless, the Sponsor reserves the right to pursue injunctive or equitable relief within the jurisdiction of state and federal courts in Pinellas County, Florida, or any other court with jurisdiction over the matter. The arbitration process, devoid of a judge or jury, ensures a limited review, with the arbitrator's decisions and awards being final and enforceable, subject to rare exceptions. These can be formalized in any court holding jurisdiction. Except as previously mentioned, all disputes arising from or connected to this Giveaway will be arbitrated by a neutral arbitrator in accordance with JAMS Inc. ("JAMS") streamlined procedures or those of a successor.
